These Terms and Conditions of Service (“Agreement”) are entered into by and between Branding Bharat (“Agency”) and the entity or individual purchasing services (“Client”).
By signing a Service Agreement or paying an invoice, the Client agrees to the following:
1. Services & DeliverablesThe Agency agrees to provide services as outlined in the signed Proposal or Statement of Work (SOW). Any work requested outside the original scope will be subject to a separate quote or an hourly rate amendment.
2. Fees, Billing, and TaxesRetainers: Monthly service fees are billed in advance and are due on the 1st of each month.Project-Based Work: Requires a 50% non-refundable deposit before work commences, with the balance due upon completion.Taxes: All fees are exclusive of applicable GST or other local taxes, which will be added to the invoice.Late Fees: Payments delayed beyond 7 days will incur a late fee of 2% per month on the outstanding balance.
3. Client Obligations & ApprovalsThe Client understands that the Agency's performance is dependent on timely cooperation.Approvals: Client shall provide feedback/approvals within 2 business days. Silence beyond this window may be deemed as "constructive approval" to maintain project timelines.Materials: Client is responsible for ensuring they own the rights to any images, logos, or data provided to the Agency for use in marketing.
4. Intellectual Property RightsClient Ownership: Upon receipt of final payment, the Client owns the final "Deliverables" (e.g., specific ad copies, finalized graphics).Agency Ownership: The Agency retains ownership of all preliminary drafts, source files (unless otherwise agreed), and proprietary methodologies, scripts, or "know-how" developed during the service.Usage License: The Agency is granted a royalty-free license to use the Client’s name and results for case studies and promotional purposes.
5. Termination & CancellationMonthly Services: Either party may terminate the agreement with a 30-day written notice.Immediate Termination: The Agency may terminate service immediately if the Client fails to pay invoices or engages in unethical/illegal business practices.Early Termination Fee: If a fixed-term contract is terminated early by the Client, the Client remains liable for the remaining balance of the contract term.
6. Non-SolicitationDuring the term of this Agreement and for one year following its termination, the Client agrees not to directly or indirectly solicit, hire, or contract any employee or contractor of Branding Bharat without written consent and a significant placement fee.
7. Limitation of Liability & IndemnificationNo Guarantee: Digital marketing involves third-party platforms (Google, Meta, etc.). The Agency does not guarantee specific rankings, lead volumes, or revenue, as these are subject to algorithm changes.Liability Cap: The Agency’s total liability for any claim shall not exceed the total amount paid by the Client to the Agency in the three months preceding the claim.Indemnity: The Client agrees to indemnify the Agency against any legal claims arising from the Client’s products, services, or misinformation provided for marketing.
8. ConfidentialityBoth parties agree that "Confidential Information" (pricing, strategy, trade secrets) shared during this engagement will not be disclosed to any third party without prior written consent, except as required by law.
9. Force MajeureNeither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to acts of God, internet outages, or changes in third-party platform policies.
10. Governing Law & Dispute ResolutionThis Agreement shall be governed by the laws of India. Any dispute arising out of this Agreement shall first be attempted to be settled through mediation in Pune, Maharashtra.
If mediation fails, the courts of Pune shall have exclusive jurisdiction.AcceptanceEngagement with Branding Bharat (via payment or written confirmation) constitutes a full legal acceptance of these Terms and Conditions.
